LPA Special Board Meeting

Roll call of the Board of Directors
Present were: Bill Gibson, Ray Thompson, Peggy Roberts, Steven Dodd, Jen Daly
McFadden, Nancy Walker, Peter Chomowicz and Sam Orr
Absent: Bryan Bentz

Call of meeting: This meeting was to discuss Attorney Tim Bleasdale’s filings with New London Court to a) Withdraw from Barbosa matter, and b) Seek a 90-day continuance. In addition:

• To consider and act on retaining Attorney Nick Kepple or another attorney to serve as general counsel to LPA and to a) advise LPA on diverse ongoing nonlitigation issues, and b) assist the Board with the identification, recruitment and retention of new litigation counsel.

• To establish a new lawyer interaction policy for the Board of Directors

Report of the President: Tim Bleasdale was contacted and notified we will be replacing him. Bleasdale drafted the appropriate motion. LPA reps Steven Dodd and Nancy reviewed the motion with attorney Nick Kepple.

Nancy said the 90-day continuance will mean the trial will likely take place in the fall.

The court does not allow Bleasdale to simply walk away. He must have permission from the judge and unless we have identified a new attorney soon, there will need to be a hearing in court on June 22. There will also be a status conference on June 12, which has been scheduled since before LPA decided to hire a new attorney.

LPA has received a new bill for $15,000 from Bleasdale. His rate, at $315 per hour, is less than Nick Kepple’s rate of $350 per hour for trial/lawsuit work.

Kepple has offered to represent LPA on other legal matters for a lower hourly rate of $250.

The board members had questions about how all this would work procedurally. Nick Kepple joined by phone and answered these questions.

Jen moved to dissolve the current litigation committee. Peter seconded. All in favor. Motion passed unanimously.

Sam then moved to appoint Steven and Ray to work with Nick to find a new legal counsel candidate to recommend to the board. Bill seconded. Motion passed.

Ray then moved to appoint Nick Kepple general counsel until LPA selects a new legal counsel to represent us on the lawsuit. Steven seconded. The vote was as follows:

Steven – yes
Motion passed 4-2-2

Peggy then stated she would be resigning from the board, effective immediately, due to what she believes to be the unethical and illegal motion passed by the membership on May 30, at the general membership meeting ordering the board to fire the attorney.
